CYTOREASON CODE OF BUSINESS CONDUCT AND ETHICS At CytoReason, we are dedicated to fostering a culture of integrity, respect, and responsibility. Our Code of Business Conduct and Ethics is the foundation of our commitment to ethical business practices, compliance with laws, and accountability to our stakeholders. This Code serves as a guide for employees, consultants, officers, and board members, ensuring that we uphold the highest standards of conduct in every aspect of our operations. We encourage all employees to embrace these values and report any concerns as outlined in the Reporting and Compliance Concerns section.

Upholding Business Integrity CytoReason operates in full compliance with applicable laws, including those governing financial transparency, fair competition, environmental protection, and data security. Beyond legal obligations, we are committed to upholding internal ethical standards that promote fairness, transparency, and accountability. Employees must report any suspected violations to the Chief Compliance Officer. We expect all employees to maintain financial integrity and transparency by preventing fraudulent activities such as forgery, falsification of documents, misappropriation of company assets, and misleading financial reporting.

Avoiding Conflicts of Interest Employees must always act in the best interest of CytoReason and avoid situations where personal interests may conflict with company objectives. This includes avoiding financial stakes in competing companies, external work with competitors or partners, and accepting significant gifts or benefits from business associates that may influence decision-making. Favoritism in hiring and promotions is not tolerated. Any potential conflicts must be disclosed to management for review.

Anti-Bribery and Fair Business Practices CytoReason enforces a strict zero-tolerance policy for bribery and corruption. All business dealings must be conducted with honesty and integrity, ensuring that transactions remain transparent and fair. Gifts and entertainment should be modest, appropriate for business relationships, and never used to gain unfair advantage. Any gift given to an employee must be shared and given to the company and its employees, ensuring collective benefit and transparency.

Ethical AI and Responsible Data Use As a leader in AI, CytoReason is committed to developing AI-driven solutions ethically and responsibly. Our AI models must be fair, unbiased, and transparent in their decision-making processes. We ensure full compliance with global data protection and privacy laws, continuously monitor AI systems to prevent unintended consequences, and apply our technologies in a manner that promotes positive societal impact.

Responsible Social Media and Communications Employees must use social media and public forums responsibly. It is essential to protect company confidentiality when engaging in online discussions and to avoid spreading misinformation or misleading statements. Employees are expected to conduct themselves professionally when communicating in public forums and interacting with external stakeholders.

Protection of Intellectual Property and Confidentiality Our research, AI models, and business strategies are valuable assets that must be safeguarded. Employees are responsible for protecting proprietary research, trade secrets, customer and partner data, and other confidential business information. Unauthorized disclosure of sensitive information is strictly prohibited and may result in disciplinary action.

Reporting Concerns and Non-Retaliation Policy Employees are encouraged to report any ethical concerns without fear of retaliation. Reports can be made directly to a Manager, the Chief Compliance Officer, or the Chief Executive Officer. Retaliation against whistleblowers is strictly prohibited and will result in disciplinary action.

Compliance and Disciplinary Actions All employees are expected to comply with this Code. Violations may result in disciplinary actions, including termination and legal consequences. The Chief Compliance Officer is responsible for ensuring compliance with this Code and providing necessary guidance.

Amendments and Acknowledgment This Code is reviewed periodically to ensure its relevance and effectiveness. Employees are required to review and acknowledge the Code annually. By signing below, employees confirm that they have read, understood, and agree to comply with CytoReason’s Code of Business Conduct and Ethics.
